Services Disclosure Agreement

Important: This website disclosure provides general information about PISM+PRIM services. Each paid engagement requires a separate written proposal, statement of work, or client services agreement. If terms conflict, the signed client agreement controls.
1. Nature of Services
PISM+PRIM Consulting LLC provides coaching, workforce strategy, organizational development, youth development, mentorship, facilitation, community capacity building, and related consulting services. The specific scope, deliverables, schedule, responsibilities, and fees for an engagement will be confirmed in writing before services begin.
2. Professional Boundaries
Our services are educational, developmental, and strategic. They are not legal, medical, mental health, accounting, tax, investment, or other licensed professional services. Clients should consult an appropriately licensed professional when those services are needed.
3. Client Responsibilities
Clients agree to provide timely, complete, and accurate information; identify authorized decision makers; participate in scheduled activities; review deliverables; and communicate concerns promptly. Outcomes may be affected when required information, access, approvals, or participation are delayed.
4. Results and Decisions
PISM+PRIM does not guarantee employment, promotion, funding, revenue, retention, program participation, organizational change, or any other specific result. Recommendations are based on the information available during the engagement. Clients remain responsible for their decisions, implementation choices, and results.
5. Fees, Payments, and Expenses
Fees, payment schedules, deposits, invoicing terms, and approved expenses will be stated in the applicable written agreement. Unless otherwise stated in writing, work outside the agreed scope may require a revised proposal or additional fee.
6. Scheduling, Cancellations, and Rescheduling
Scheduling and cancellation terms will be included in the applicable client agreement. PISM+PRIM may charge for late cancellations, missed sessions, or work already completed when permitted by the signed agreement.
7. Confidentiality and Privacy
PISM+PRIM will use reasonable care when handling confidential information shared for an engagement. Confidentiality does not apply to information that is public, independently developed, lawfully received from another source, authorized for release, or required to be disclosed by law. Additional privacy, data handling, or youth participation requirements may be included in a separate agreement.
8. Intellectual Property
Ownership and permitted use of curricula, assessments, templates, reports, frameworks, training materials, and client deliverables will be defined in the applicable written agreement. PISM+PRIM retains ownership of its preexisting tools, methods, frameworks, and materials unless expressly agreed otherwise in writing.
9. Third Party Resources
PISM+PRIM may identify outside resources, speakers, platforms, referrals, or service providers. Unless specifically stated in writing, PISM+PRIM does not control or guarantee third party services, availability, policies, conduct, or outcomes.
10. Changes or Termination
Either party may request changes to the scope or schedule. Material changes must be approved in writing. Suspension, termination, refunds, and payment for completed work will be governed by the applicable signed agreement.
11. Acceptance
Viewing this page or contacting PISM+PRIM does not create a client relationship. A client relationship begins only when the parties sign an applicable agreement and any required initial payment has been received.
